Base Terms

These Base Terms are the agreement between you and [Legal Entity Name] (“Neubeat”, “we”, “us”), the operator of the Neubeat marketplace, based in [City], Nepal. They bind every registered user. By creating an account or using Neubeat you agree to them.

1. Who can use Neubeat

You must be at least 18 years old to create an account, buy a licence, sell as a producer, or list a studio. By registering you confirm that you are 18 or older and that the information you give us is accurate.

2. Your account

You sign in with your email address and a one-time passcode. You are responsible for keeping access to your inbox secure and for everything done through your account. Tell us promptly if you believe someone else has used it.

3. What Neubeat is

Neubeat is a marketplace where producers license beats and bundles to buyers. When you buy a licence, the licence contract is between you (the Licensee) and the producer (the Licensor); Neubeat facilitates the sale, delivers the files, and takes a commission, but is not itself a party to that contract. The specific rights you get are set by the agreement you accept at checkout, frozen into a contract snapshot at that moment.

4. Payments

Payments are handled by our payment processor, Khalti. We do not store your card or wallet credentials. A licence whose price is zero (a free licence) is delivered without any payment step, but still carries a full contract.

5. Refunds — all sales are final

Because every purchase delivers a digital licence and files immediately, all sales are final. We will only consider a refund in these cases:

• the licensed files were never delivered to you;
• you were charged more than once for the same purchase;
• the purchase is shown to be fraudulent; or
• the beat is proven to be stolen — sold by someone who did not hold the rights to it.

6. Acceptable use

Do not upload content you do not have the rights to, misrepresent who you are, attempt to disrupt the platform, or use Neubeat to break the law. We may suspend or remove accounts and listings that breach these terms.

7. Privacy

How we handle your data is described in our Privacy Policy, which forms part of these terms.

8. Role documents

Some activities carry extra terms that build on these Base Terms rather than restate them:

• selling as a producer is governed by the Producer Agreement; and
• listing a recording studio is governed by the Studio Listing Terms.

9. Changes to these terms

We may publish a new version of these terms. When we do, we will ask you to accept the new version before you continue using Neubeat. The version and effective date at the top of this page always show what is currently in force.

10. Governing law

These Base Terms are governed by the laws of Nepal, and any dispute about them is subject to the competent courts of [City], Nepal. The governing law of an individual licence contract is the Licensor’s own country, as described in that contract.
